1. Introduction
Welcome to Chatist. These Terms of Use (“Terms”) govern your access to and use of the Chatist website, SDK, and services (collectively, the “Service”) operated by Teleprompter LLC (“Company”, “we”, “us”, or “our”).
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

By using our Service, you represent and warrant that:

  • You are at least 18 years old

  • You are not prohibited from using the Service under applicable laws

  • If using the Service on behalf of an organization, you have authority to bind that organization to these Terms


4. Account Registration
To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Keep your password secure and confidential

  • Accept responsibility for all activities under your account

  • Notify us immediately of any unauthorized access or security breach

We reserve the right to refuse registration or cancel accounts at our sole discretion.


5. Service Description
Chatist provides an AI-powered customer support SDK that:

  • Integrates with iOS, Android, and Web applications

  • Learns from your closed support tickets

  • Provides instant responses to customer inquiries

  • Offers human backup when needed

  • Builds a personalized knowledge base for your application

6. Free Trial
We offer a 30-day free trial of our Service. During the trial:

  • You have access to the Service features as described on our pricing page

  • No payment information is required to start the trial

  • At the end of the trial, you must subscribe to continue using the Service

  • We reserve the right to modify or discontinue the free trial at any time


7. Subscription and Payments


7.1 Billing

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan)

  • Payment is processed securely through Stripe

  • You authorize us to charge your payment method for all fees incurred


7.2 Usage Limits
Usage limits (API calls, messages, storage, etc.) vary by plan. Current limits are available at chatist.com/pricing. If you exceed your plan limits, you may need to upgrade or usage may be restricted.


7.3 Price Changes
We reserve the right to modify our pricing at any time. We will provide notice of price changes via email at least 30 days before they take effect. Continued use of the Service after price changes constitutes acceptance of the new pricing.


7.4 Failed Payments
If a payment fails, we will:

  • Notify you of the failed payment

  • Provide a 14-day grace period to update your payment information

  • Suspend your account if payment is not received within the grace period


8. Cancellation and Termination


8.1 Cancellation by You
You may cancel your subscription at any time through your account settings or by contacting support@chatist.com. Upon cancellation:

  • Your subscription remains active until the end of the current billing period

  • You will not be charged for subsequent billing periods

  • You retain access to the Service until the end of your paid period


8.2 Data Export
Before or after cancellation, you may export your knowledge base and data. We recommend exporting your data before your subscription ends.


8.3 Termination by Us
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms

  • Prohibited use of the Service

  • Fraudulent or illegal activity

  • Non-payment of fees

  • Extended inactivity


9. Refund Policy
Refunds are handled as follows:

  • Unused accounts: If you have not used our AI services, you may request a full refund within 30 days of payment

  • Used accounts: If you have used our AI services (sent messages, built knowledge base, etc.), we cannot issue refunds as computational resources have been consumed

To request a refund, contact support@chatist.com with your account details and reason for the request.


10. Intellectual Property


10.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by Teleprompter LLC and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.


10.2 Your Content and Knowledge Base
You retain full ownership of:

  • All content you upload to the Service

  • Your knowledge base and training data

  • Your closed ticket data used for AI training

  • Any custom configurations or integrations

By using the Service, you grant us a limited license to use your content solely to provide and improve the Service for you. We do not claim ownership of your content.


10.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.


11. Prohibited Uses
You agree NOT to use the Service to:


11.1 Illegal Activities

  • Violate any applicable laws or regulations

  • Facilitate or promote illegal activities

  • Launder money or finance terrorism


11.2 Harmful Content

  • Distribute malware, viruses, or harmful code

  • Send spam or unsolicited communications

  • Harass, abuse, or harm others

  • Distribute adult, pornographic, or obscene content

  • Promote violence or discrimination


11.3 Gambling

  • Operate or facilitate gambling services

  • Integrate the SDK into gambling applications

  • Promote gambling-related activities


11.4 Fraud and Abuse

  • Impersonate others or misrepresent your affiliation

  • Interfere with or disrupt the Service

  • Attempt to gain unauthorized access to systems

  • Circumvent usage limits or security measures

  • Reverse engineer or decompile the Service


11.5 Reselling

  • Resell, redistribute, or white-label the Service without authorization

  • Create derivative services based on our Service

Violation of these prohibitions may result in immediate termination of your account.


12. SDK Usage and End-User Consent


12.1 Your Responsibilities
When integrating our SDK into your application, you are responsible for:

  • Obtaining all necessary consents from your end-users for data collection

  • Providing your own privacy policy that discloses the use of Chatist

  • Ensuring your use of the SDK complies with applicable laws (including GDPR, CCPA, etc.)

  • Managing end-user data in accordance with your privacy commitments


12.2 End-User Data
You acknowledge that:

  • You are the data controller for end-user data processed through your integration

  • We act as a data processor on your behalf

  • You must have a lawful basis for collecting end-user data

  • You are responsible for responding to end-user data requests


12.3 Prohibited Applications
You may not integrate the SDK into applications that:

  • Facilitate gambling or betting

  • Distribute illegal content

  • Target children under 16 without appropriate safeguards

  • Violate any applicable laws or regulations


13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR RELIABILITY OF RESULTS

  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not guarantee:

  • Specific uptime or availability

  • That the Service will meet your requirements

  • That AI responses will be accurate or appropriate

  • That defects will be corrected

You use the Service at your own risk.


14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:


14.1 Exclusion of Damages
IN NO EVENT SHALL TELEPROMPTER LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue

  • Loss of data or goodwill

  • Business interruption

  • Any other intangible losses


14.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


14.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the fullest extent permitted by applicable law.


15. Indemnification
You agree to indemnify, defend, and hold harmless Teleprompter LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your end-users’ use of your application integrated with our SDK

  • Any content you upload or transmit through the Service


16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions.


17. Dispute Resolution


17.1 Informal Resolution
Before filing any formal legal action, you agree to contact us at support@chatist.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.


17.2 Jurisdiction
Any disputes arising from these Terms or the Service that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Budapest, Hungary.


17.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.


18. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website

  • Updating the “Last Updated” date

  • Sending an email notification

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.


19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


20. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Teleprompter LLC regarding the Service and supersede any prior agreements.


21. Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver must be in writing and signed by us.


22. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
